These Terms of Use (the “Terms”) form a binding agreement between you and Apex Governance LLC, a Delaware limited liability company (“Apex,” “we,” “our”), governing your access to and use of the website located at apexgscore.com and any subdomain or successor URL (collectively, the “Website”).
By accessing the Website, you agree to be bound by these Terms. If you do not agree, you must stop using the Website. Separate written agreements govern access to commercial data products, sample materials gated by access requests, and any other paid or licensed services; those agreements control over these Terms to the extent of any conflict.
§ 01 Scope and Acceptance
These Terms apply to the public, unauthenticated portions of the Website. They do not, on their own, grant any license to commercial data, scoring outputs, methodology details, or any other deliverable produced by Apex outside the public Website. Access to those deliverables requires a separate executed agreement.
You confirm that you are at least eighteen (18) years of age, that you have the legal capacity to enter into a binding contract, and that, if you are accessing the Website on behalf of an organization, you have authority to bind that organization. References in these Terms to “you” include any such organization.
We may update these Terms from time to time. The version in effect at the time you access the Website is the version that applies to that visit. Material changes will be reflected in the “Last Updated” date at the top of this page. Continued use after changes are posted constitutes acceptance of the updated Terms.
§ 02 Permitted Use
You may access and view the Website for lawful, non-commercial informational purposes, including evaluating Apex's services, reading published research summaries, and contacting Apex about a potential commercial relationship.
You may print or save copies of public Website pages for your own internal reference, provided that you preserve all proprietary notices and do not modify the content. Linking to public Website pages from other sites is permitted, provided the link is presented in a manner that is not misleading and does not falsely imply endorsement, sponsorship, or affiliation.
§ 03 Prohibited Use
You agree not to, and not to authorize any third party to:
- copy, reproduce, republish, redistribute, sublicense, or commercially exploit any portion of the Website, except as expressly permitted above;
- use any automated means — including robots, spiders, scrapers, headless browsers, large-language-model agents, or other data-extraction tools — to access, monitor, or copy any portion of the Website without our prior written consent;
- frame, mirror, deep-link, or otherwise present Website content in a way that misrepresents its source or that obscures its origin;
- reverse engineer, decompile, disassemble, or attempt to derive the source code, scoring mechanics, indicator weights, threshold values, classification algorithms, or other underlying methodology of any Apex product from materials available on the Website;
- circumvent, disable, or interfere with any security, access-control, or rate-limiting feature of the Website;
- transmit any virus, worm, trojan, or other malicious code, or otherwise interfere with the integrity or performance of the Website or its underlying infrastructure;
- use the Website in any manner that infringes the rights of any third party, violates any law or regulation, or breaches any other agreement to which you are a party;
- use the Website to compile, develop, train, fine-tune, evaluate, benchmark, or otherwise improve any artificial intelligence or machine learning system, dataset, or model without our prior written consent.
We reserve the right to investigate suspected violations and to take any action we deem appropriate, including denying access, removing content, and pursuing civil or criminal remedies.
Where you receive a commercial data product, sample material, or academic license from Apex, you are additionally bound by the conduct standards set out in the Acceptable Use Policy.
§ 04 Intellectual Property
The Website and all content on it — including text, graphics, logos, charts, maps, code, layouts, color systems, typographic systems, the names and visual marks of Apex products, and the underlying scoring framework — are owned by or licensed to Apex and are protected by copyright, trademark, trade secret, and other intellectual-property laws of the United States and other jurisdictions.
The marks Apex G-Score™, Apex Governance™, the TBR Framework™ designation, the country product designations (including, without limitation, G-Score Korea™, G-Score India™, G-Score Taiwan™, G-Score Thailand™, G-Score Japan™, and the corresponding GS-XXX abbreviations), the Kill Switch™ risk-category designation, and the five archetype designations (Celestial, Poison Apple, Hidden Gem, Chameleon, Time Bomb) are trademarks of Apex Governance LLC. All other marks are the property of their respective owners.
Nothing on the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Apex mark or content without prior written permission.

§ 05 User Submissions and Communications
If you submit a request, inquiry, application, or other communication through the Website, you represent that the information provided is true and accurate and that you have the right to provide it. You grant Apex a non-exclusive, worldwide, royalty-free license to use such information for the purpose of responding to your inquiry, evaluating a potential business relationship, and complying with our legal and regulatory obligations.
Do not submit any confidential, proprietary, or non-public material information through unsecured channels (including the website contact form). For exchanges of confidential material, we will provide an executed mutual non-disclosure agreement; see the NDA Reference Template.
§ 06 Third-Party Sources and Links
The Website may reference, link to, or describe materials produced by third parties, including stock exchanges, regulatory bodies, academic publications, and news outlets. Apex does not endorse, control, or assume responsibility for the content of any third-party material. Your reliance on any third-party material is at your own risk.

§ 07 Disclaimers
The Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or freedom from error. Apex does not warrant that the Website will be uninterrupted, secure, or error-free, or that defects will be corrected.
Nothing on the Website constitutes investment advice, a recommendation, a solicitation, or an offer to buy or sell any security or financial instrument. Apex is not a registered investment adviser, broker-dealer, or fiduciary. The Apex G-Score and related outputs are quantitative governance research products and must not be used as the sole basis for any investment decision.

§ 08 Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Apex or its members, managers, officers, employees, agents, advisors, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, goodwill, or other intangible loss, arising out of or in connection with your access to or use of the Website, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Apex has been advised of the possibility of such damages.
To the extent the foregoing exclusion is not enforceable, Apex's aggregate liability arising out of or in connection with the Website or these Terms is limited to one hundred U.S. dollars (US$100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the above may not apply to you. Nothing in these Terms is intended to limit liability that cannot lawfully be limited.
§ 09 Indemnification
You agree to defend, indemnify, and hold harmless Apex and its members, managers, officers, employees, agents, advisors, contractors, and licensors from and against any claim, demand, action, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Website; (c) your violation of any law or any right of any third party; or (d) any content or information you submit through the Website.
Apex reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate fully in asserting any available defenses.
§ 10 Termination
Apex may suspend or terminate your access to all or part of the Website at any time, for any reason or no reason, with or without notice, including for actual or suspected violation of these Terms. Upon termination, all provisions of these Terms that by their nature should survive (including provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
§ 11 Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or to your use of the Website are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles.
The exclusive venue for any judicial proceeding is the state and federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts. The full jurisdictional terms are set out in the Jurisdiction & Governing Law notice.
§ 12 Miscellaneous
These Terms (together with any other agreements that govern specific products or services) constitute the entire agreement between you and Apex with respect to the Website. If any provision is held to be unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Apex's failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent. Apex may assign these Terms at any time without notice. Headings are for convenience only.
