From time to time Apex Governance LLC (“Apex”) makes a limited number of sample scorecards available to qualified institutional contacts for evaluation purposes (each, a “Sample”). Samples typically consist of scorecards for large-capitalization issuers in Apex's covered markets, together with accompanying methodology overviews.
These Sample Scorecard Access Terms (the “Sample Terms”) govern any access to a Sample. By requesting or accessing a Sample, you agree to be bound by these Sample Terms. If you do not agree, do not request or use the Sample.
§ 01 Eligibility
Samples are made available solely to verified institutional contacts evaluating a potential commercial relationship with Apex. Apex reserves the right to verify identity, organizational affiliation, and intended use before granting access, and to deny access for any reason.
Samples are not intended for use by retail investors, individuals not affiliated with an evaluating institution, or competitors of Apex.
§ 02 Limited Evaluation License
Subject to your continuing compliance with these Sample Terms, Apex grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Sample for the sole purpose of evaluating the form, content, and analytical depth of Apex's data products in connection with a potential commercial license. The license is limited to the named recipient and to the recipient's immediate evaluation team within the same institution.
§ 03 Confidentiality
Samples contain confidential and proprietary information of Apex, including specific scoring outputs, illustrative methodology disclosures, and presentation conventions that are not made publicly available. You will:
- treat the Sample and any related materials as confidential information of Apex;
- limit access to the named recipient and members of the immediate evaluation team who have a need to know;
- not publish, post, share, or otherwise disclose the Sample or any portion of it on any external-facing channel, including social media, public reports, regulatory filings, news interviews, conference presentations, or third-party platforms;
- not forward the Sample to any individual outside the evaluation team without Apex's prior written consent;
- upon Apex's request, return or destroy all copies of the Sample.
If you are subject to a separately executed mutual non-disclosure agreement with Apex, that NDA also applies to the Sample. In the event of conflict, the more protective provision controls.
§ 04 Restrictions
You will not, and will not permit any other person to:
- use the Sample as the basis for any investment, voting, lending, or other financial decision;
- display the Sample's specific G-Score value, grade, archetype classification, or Kill Switch flag for the underlying issuer (or any other issuer) on any external-facing channel;
- use the Sample to compete with Apex, including to develop a competing scoring product;
- use the Sample as input or training data for any artificial intelligence or machine learning system;
- reverse engineer, attempt to derive, or attempt to reconstruct the underlying methodology, indicator weights, or threshold values from the Sample;
- remove, obscure, or alter any proprietary notice, watermark, or attribution.
§ 05 Disclaimers
Samples are provided “as is” for evaluation only. Specific outputs in a Sample reflect the state of the underlying issuer at a particular point in time and may not represent current scoring. The Sample is illustrative of the form and depth of Apex's deliverables; it is not investment advice, a recommendation, or a solicitation. See the Investment Advice Disclaimer.
Apex makes no representation that the Sample is suitable for any particular purpose. Your use of the Sample is at your sole risk.
§ 06 Term and Withdrawal
Sample access continues until the earlier of (a) thirty (30) days after Apex makes the Sample available to you, (b) your acceptance of these Sample Terms in connection with a different Sample that supersedes the prior Sample, (c) execution of a commercial Master Subscription Agreement that grants you broader access, or (d) Apex's withdrawal of access for any reason and without notice.
The confidentiality, restrictions, and disclaimer provisions survive expiration or withdrawal.
§ 07 Governing Law
These Sample Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-laws principles. Disputes are resolved as set out in the Jurisdiction & Governing Law notice.
